**The firm**
This is a leading US law firm with an established London leveraged finance practice and a strong international finance platform.
The team advises financial institutions on complex leveraged and acquisition financings, combining detailed technical advice with an understanding of underwriting, syndication and transaction execution.
Working within an international practice, you will gain exposure to sophisticated lender clients, substantial cross-border transactions and financing structures that require close coordination across jurisdictions.
**The role**
The firm is seeking an associate with approximately three to five years’ PQE to advise on lender-side leveraged finance transactions.
You will work closely with partners and senior associates while taking increasing responsibility for documentation, negotiations and the management of individual workstreams. The position offers scope to develop both your technical expertise and your confidence as a client-facing adviser.
**Your responsibilities**
* Advise banks and other finance providers on leveraged and acquisition finance transactions.
* Draft, review and negotiate commitment documentation, facility agreements, intercreditor agreements and ancillary finance documents.
* Work on underwritten and syndicated financings, including term loan and revolving credit facilities.
* Advise on refinancings, amendments, waivers and other changes to existing debt arrangements.
* Coordinate due diligence, conditions precedent and transaction completion.
* Liaise directly with clients, borrower counsel and advisers across jurisdictions.
* Identify legal and commercial issues and help develop practical solutions.
* Support junior lawyers and contribute to the effective management of transactions.
**About you**
You will be a qualified lawyer with approximately three to five years’ post-qualification experience in leveraged finance, gained within a recognised UK, international or US practice.
A strong grounding in lender-side transactions and finance documentation is particularly relevant. You should be comfortable managing substantial workstreams, communicating with clients and progressing matters with an appropriate level of supervision.
Strong drafting skills, attention to detail and an interest in the commercial dynamics of the lending market are essential.
**Why join?**
This opportunity offers the chance to develop a focused lender-side practice within a leading US firm, working on complex financings alongside experienced specialists. It would suit an associate seeking greater transaction responsibility, international exposure and further development within leveraged finance.
