**Corporate Associate 3+ PQE** **Central London** **Corporate M&A - Private Equity** **Hybrid** An exciting opportunity has arisen for an experienced **Corporate Associate (3+ PQE)** to join the expanding London Corporate team of an established international law firm. The firm has made significant investments in its Corporate practice, including several senior partner appointments, and continues to develop its transactional capabilities across M&A, private equity and corporate advisory. This opportunity would suit a Corporate Associate looking to join an ambitious team with exposure to a broad range of domestic and cross-border transactions. **The Role** The successful candidate will work closely with experienced Corporate Partners, advising a diverse client base that includes privately owned businesses, entrepreneurs, investors and international companies. **The work will include:** * **Mergers & Acquisitions:** Advising on domestic and cross-border acquisitions, disposals, share purchases, asset sales and management buyouts. * **Private Equity:** Supporting investment transactions, acquisitions, exits and shareholder arrangements. * **Corporate Reorganisations:** Advising on group restructurings, demergers, corporate simplifications and ownership structures. * **Joint Ventures:** Structuring and negotiating joint venture arrangements and strategic investments. * **Corporate Advisory:** Advising on shareholder agreements, corporate governance, directors' duties and general company law matters. * **Transaction Management:** Managing due diligence processes, drafting and negotiating SPAs and ancillary documents, and coordinating transactions through signing and completion. The role offers exposure to a varied transactional practice, with opportunities to work directly with clients and collaborate with lawyers across other departments. **The Ideal Candidate** * **3+ years' PQE** gained within a recognised Corporate M&A practice. * Strong experience advising on private company acquisitions and disposals. * Experience drafting and negotiating SPAs, shareholder agreements and other transaction documentation. * Ability to manage due diligence exercises and coordinate multiple transaction workstreams. * Experience working directly with clients and managing transactions with appropriate supervision. * Strong commercial awareness, attention to detail and negotiation skills. * Previous private equity, joint venture or cross-border M&A experience would be advantageous.
